Welcome to Beja Technologies LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our IT Managed Services Provider (MSP) offerings, including IT operations, security services, cloud solutions, network management, and other related IT consulting services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.
1. Services Provided
Beja Technologies LLC provides managed IT services, cybersecurity solutions, cloud computing, IT infrastructure management, network security, IT consulting, disaster recovery, and business continuity planning. These services may be provided through our proprietary tools or third-party SaaS platforms.
2. Eligibility
To use our services, you must:

Be at least 18 years old or have legal authority to contract on behalf of an entity

Provide accurate and up-to-date information when required

Comply with all applicable laws and regulations
3. Client Responsibilities
By using our services, you agree to:

Provide necessary access to your IT systems, infrastructure, and data as required for service delivery

Maintain valid software licenses for third-party software where applicable

Follow security best practices and cooperate with us in implementing cybersecurity measures

Avoid unauthorized sharing, resale, or modification of our services without our consent

Notify us promptly of any security incidents, breaches, or service issues
4. Service Level Agreements (SLAs)

Our services may include response and resolution time commitments as outlined in individual agreements

Scheduled maintenance and emergency support will be communicated in advance whenever possible

We are not responsible for disruptions caused by third-party vendors, internet outages, or force majeure events

Uptime guarantees and service availability metrics will be detailed in specific SLAs
5. Payment and Billing

Fees for our services are outlined in service agreements or contracts

Payments must be made as per the terms specified in invoices

Late payments may result in interest charges, service suspension, or termination

Any additional costs for third-party software, licensing, or hardware procurement will be invoiced separately
6. Data Security and Confidentiality

We implement industry-standard security measures to protect client data

Both parties agree to safeguard confidential information shared during the engagement

We are not responsible for security breaches resulting from client negligence or third-party actions

Clients must follow recommended cybersecurity practices to mitigate risks

Data encryption, access controls, and backup policies will be applied where necessary
7. Intellectual Property and Licensing

Any proprietary tools, scripts, or software developed by Beja Technologies LLC remain our intellectual property

Clients may be granted a limited, non-transferable license to use specific tools during service engagements

Unauthorized copying, distribution, or reverse engineering of our proprietary technology is prohibited

Any custom development or modifications remain the property of Beja Technologies LLC unless otherwise agreed upon
8. Compliance and Regulatory Considerations

Clients must ensure compliance with industry-specific regulations, including GDPR, HIPAA, or CMMC, if applicable

We will assist in compliance efforts but do not assume legal liability for non-compliance

Security audits and compliance assessments may be available as part of our service offerings

Clients are responsible for implementing and maintaining internal compliance measures
9. Limitations of Liability

We provide our services "as is" and "as available," without warranties of any kind

We are not liable for indirect, incidental, or consequential damages arising from service use

Our liability shall not exceed the total fees paid by the client for the applicable service period

We are not responsible for third-party service failures, cyberattacks, or client misconfigurations
10. Termination and Suspension

Either party may terminate services with written notice, subject to contract terms

We reserve the right to suspend services due to non-payment, security threats, or violation of these Terms

Upon termination, clients must return or cease use of any proprietary software or tools provided

Any outstanding balances must be paid before service termination is finalized
11. Disaster Recovery and Business Continuity

We offer disaster recovery planning and business continuity solutions as part of our services
-
Clients are responsible for maintaining data backups and redundancy solutions unless explicitly covered in our agreement

We are not liable for data loss due to unforeseen circumstances unless otherwise stated in a disaster recovery agreement
12. Changes to Terms
We may update these Terms periodically. Any changes will be communicated, and continued service use constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
